Singapore's Variable Capital Company (VCC) Enters Maturity: Regulatory Upgrades and Market Breakthroughs in 2025-2026

The Variable Capital Company (VCC) is a flexible fund vehicle introduced by Singapore in January 2020, designed to accommodate both open-ended and closed-ended fund structures. As Asia's first direct equivalent to established international fund vehicles such as Luxembourg's SICAV and the Cayman Islands' SPC, the VCC was conceived to advance Singapore's ambition as a premier global fund domicile.

Five years on, the VCC has evolved from an innovative experiment into a significant pillar of Singapore's asset management industry.

Scale and Growth

As of September 2025, Singapore had registered over 1,270 VCC entities encompassing more than 2,700 sub-funds, with total assets under management estimated at over S$220 billion (approximately US$170 billion). The VCC now accounts for 3.6% of Singapore's S$6 trillion asset management industry and ranks among its fastest-growing segments.

In regional competition, the VCC holds a commanding lead. Hong Kong's Open-ended Fund Company (OFC) had registered only 626 entities by the same period, managing approximately HK$120 billion (US$15.5 billion) — less than one-tenth of VCC's scale.

The re-domiciliation mechanism has also proven successful. During the grant scheme period from January 2023 to January 2025, approximately 220 to 250 funds completed re-domiciliation from traditional offshore jurisdictions including the Cayman Islands, Delaware, and Guernsey, representing 16%-18% of all VCC entities.

Governance Guidelines

On June 26, 2025, MAS issued Circular IID 04/2025, systematically articulating supervisory expectations for VCC governance and management for the first time. Key requirements include mandatory independent custody for most VCC assets (excluding private equity and venture capital funds for accredited investors), licensing obligations for directors actively engaged in regulated activities, and mandated periodic reviews to identify and wind down dormant entities.

These measures ensure that the VCC framework maintains the institutional rigor expected of a Tier-1 financial center.

AML/CFT Enhancements

Revised MAS AML/CFT notices and guidelines applicable to VCCs took effect on July 1, 2025. The updated regime requires VCCs and their managers to implement enhanced customer due diligence, suspicious transaction reporting, and record-keeping standards consistent with those applicable to traditional fund management companies.

Tax Incentive Synergies

The VCC structure integrates seamlessly with Section 13O and 13U tax incentive schemes. The 2025 policy refinements introduced additional benefits: funds may elect special treatment during divestment phases to prevent tax incentive lapse solely because AUM temporarily falls below thresholds. Furthermore, the strict requirement for MAS-approved investment strategies has been removed, provided activities remain within the scope of the offering document.

This flexibility makes the VCC an ideal vehicle for family offices, private equity funds, hedge funds, and sovereign wealth funds alike.

Use Cases and Emerging Trends

VCC applications continue to expand. In the family office context, the umbrella structure enables multiple sub-funds under a single legal entity, each investing in distinct asset classes — equities, fixed income, real estate, private equity — achieving asset segregation while reducing operational overhead.

In ESG investing, the VCC demonstrates particular promise. Aligned with the Singapore-Asia Taxonomy, VCCs can establish dedicated green or transition finance sub-funds to meet growing sustainable investment demand.

Outlook

Looking ahead to 2026, the VCC is positioned for continued double-digit growth. As governance frameworks mature and regulatory expectations crystallize, an increasing number of international fund managers will consider the VCC as their core Asian vehicle. For high-net-worth families, the VCC represents not merely a tax-efficient fund structure, but a modern wealth management tool combining flexibility, transparency, and international recognition.
